2. Terms and Conditions of Sale
PLEASE READ THESE TERMS CAREFULLY. SECTION 2.14 CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS.
2.1 Seller and scope
These Terms and Conditions of Sale ("Terms") govern all orders placed through store.sauleda.com/en with Sauleda USA Inc., 2055 Randolph St, Huntington Park, CA 90255, United States, phone (323) 584-5067, email sauleda@sauleda.com.
These Terms apply to two types of customers:
- Consumers: individuals buying for personal, family, or household use.
- Professional Customers: businesses buying for resale, fabrication, or commercial use, including holders of an approved Professional (Trade) account.
For Professional Customers, any signed supply or distribution agreement with Sauleda USA prevails over these Terms. Terms in a customer's purchase order that conflict with or add to these Terms are rejected unless we accept them in writing.
2.2 Orders and contract formation
- Select products, quantities, and, where applicable, cut lengths.
- Enter your shipping and billing information and choose a payment method.
- Review the order summary, which shows products, price, estimated shipping, applicable sales tax, and total.
- Confirm your order and accept these Terms.
You will receive an order acknowledgment by email. This acknowledgment is not an acceptance. A contract is formed only when we send a shipping confirmation or otherwise confirm acceptance in writing. We may refuse or cancel any order, for example for product unavailability, pricing or typographical errors, or suspected fraud. If we cancel after charging you, we will refund the full amount.
2.3 Prices
All prices are in U.S. dollars (USD) and exclude sales tax and shipping unless stated otherwise. Professional Customers may see account-specific trade pricing after logging in. We may change prices at any time, but changes do not affect orders we have already accepted. If a product is listed at an incorrect price, we may cancel the order and notify you.
2.4 Sales tax
We collect sales and use tax where required by law, based on the delivery address. The applicable amount is shown before you confirm your order. Professional Customers claiming a resale or other exemption must provide a valid, completed exemption certificate for the delivery state e.g., California CDTFA-230 before the order is placed. Otherwise tax will be charged, and we cannot issue retroactive refunds of tax already collected.
2.5 Payment
Payment options, if available, are shown at checkout. Authorize.Net is the intended payment provider. At the time of publication, Authorize.Net is disabled and in sandbox configuration; no payment method or production payment processing is promised by these Terms until it is enabled and confirmed. Do not send payment details by email.
Approved Professional Customers may be offered credit terms (e.g., Net 30) subject to a credit application. Overdue balances may accrue interest at 1.5% per month or the maximum rate allowed by law, whichever is lower, and we may suspend shipments until the account is current.
2.6 Samples
Sample requests are subject to availability and may be limited in quantity. Samples are charged at the listed price. Samples show representative color and texture but may vary from production dye lots.
2.7 Shipping and delivery
Shipping destinations, available delivery methods, costs, and estimated delivery times, if available, are shown at checkout. We do not promise destinations, carriers, delivery dates, or shipping conditions that are not displayed at checkout. Delivery dates shown are estimates, not guarantees.
Title and risk of loss pass to you when we deliver the products to the carrier. Please inspect your shipment on arrival and note any visible damage on the carrier's delivery receipt. Report damaged, defective, or missing items to us within 7 days of delivery with photos.
2.8 Returns and refunds
Consumers. You may return unused, uncut, and undamaged products in their original packaging within 30 days of delivery for a refund of the product price. Contact us at sauleda@sauleda.com to obtain a Return Authorization (RA) number before sending any return. Return shipping is paid by you unless the product was defective or we made an error. Refunds are issued to the original payment method within 10 business days after we receive and inspect the return.
Professional Customers. Returns are accepted only with our prior written authorization and return freight is paid by the customer unless the product was defective or we made an error.
Non-returnable items. The following cannot be returned except for a manufacturing defect: fabric cut to your requested length, custom or made-to-order items, discontinued or clearance items, and opened cleaning products.
2.9 Limited warranty
Sauleda products are covered by the applicable written limited warranty for the fabric collection. The applicable warranty document is available from Sauleda USA on request. Request and review the applicable warranty before purchase; these Terms do not state a warranty duration or expand the coverage of that document.
For Consumers, nothing in these Terms limits any rights you have under the Magnuson-Moss Warranty Act or applicable state law. For Professional Customers, EXCEPT FOR THE WRITTEN LIMITED WARRANTY, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
2.10 Suitability of use
Professional Customers are responsible for confirming that the fabric is suitable for their intended application, including compliance with fire codes, flame-retardancy standards (e.g., NFPA 701, CAL 117), and local building requirements. Technical data sheets and certifications apply only to the tested product and conditions.
2.11 Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING FROM ANY ORDER WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCTS AT ISSUE. WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LABOR, OR INSTALLATION COSTS. Some states do not allow the exclusion of certain damages, so these limits may not apply to Consumers.
2.12 Force majeure
We are not responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, pandemics, labor disputes, supply-chain or port disruptions, tariffs or customs holds, carrier delays, power or network failures, or acts of government.
2.13 Marketing communications
If you opt in, or where permitted by law because you are an existing customer, we may send you emails about our products and news. Every marketing email includes an unsubscribe link, as required by the CAN-SPAM Act. Transactional messages about your orders are not marketing and will continue to be sent.
2.14 Dispute resolution and arbitration
Informal resolution first. Before filing any claim, contact us at sauleda@sauleda.com and give us 30 days to try to resolve it informally.
Consumers — binding arbitration. If we cannot resolve it, you and Sauleda USA agree that any dispute will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, instead of in court. Arbitration will take place in Los Angeles County, California, or by video, or in your county of residence if you prefer. Either party may bring an individual claim in small claims court instead.
Class action waiver. YOU AND SAULEDA USA AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.
Opt-out. You may opt out of this arbitration agreement by emailing sauleda@sauleda.com with the subject "Arbitration Opt-Out" within 30 days after your first order.
Professional Customers. Disputes will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and each party consents to that jurisdiction.
2.15 Governing law
These Terms are governed by the laws of the State of California and the Federal Arbitration Act, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
2.16 Changes and contact
We may update these Terms from time to time. The version in effect when you place an order applies to that order. Questions: Sauleda USA, 2055 Randolph St, Huntington Park, CA 90255 · (323) 584-5067 · sauleda@sauleda.com.
